1. Services We Provide
Net Sphere provides content marketing services for local service businesses. Our services include but are not limited to:
- On site video production (short form and long form)
- Content editing and post production
- Social media content distribution across Facebook, Instagram, TikTok, YouTube, and Google Business Profile
- Paid advertising campaign management through Meta (Facebook and Instagram)
- Sales funnel, landing page, and Video Sales Letter development
- Reputation management and automated review requests
- Creative strategy and offer development
We are not affiliated with Google, Meta, TikTok, YouTube, or any third party platform. We do not guarantee specific results such as increases in revenue, leads, rankings, or traffic. Results depend on many factors unique to each business.
2. Client Responsibilities
To get the most out of our services, you agree to:
- Be available for scheduled video shoots at your job sites or place of business.
- Provide timely access to your social media accounts, Google Business Profile, and any platforms we manage on your behalf.
- Ensure that any customers, team members, or individuals appearing in our video content have given their verbal or written consent to be filmed and published.
- Communicate schedule changes or cancellations with reasonable notice.
- Provide accurate business information for use in content, ads, and sales assets.
3. Payment and Billing
Payment for services is due at the start of each billing cycle unless otherwise agreed in writing. By subscribing to a service plan, you authorize Net Sphere to charge your selected payment method on a recurring monthly basis until you cancel.
All pricing is outlined in your service agreement. Net Sphere reserves the right to adjust pricing with 30 days written notice.
4. Cancellation and Refunds
You may cancel your service at any time. There are no long term contracts or cancellation fees. If you cancel, we will complete any work in progress for the current billing period.
If you are unsatisfied with our services, you may request a refund for up to the last 30 days of service by emailing [email protected]. Refunds are processed within 1 to 2 business days.
5. Content Ownership and Usage Rights
You own the content we produce for your business. All raw footage, edited videos, images, and deliverables belong to you and may be used by you however you choose.
Net Sphere retains the right to use published content (content that has already been posted publicly) in our portfolio, case studies, social media, and marketing materials. If you prefer that we do not feature your content in our portfolio, notify us in writing and we will remove it within 14 business days.
Net Sphere retains ownership of any proprietary processes, templates, strategies, and tools used in delivering our services.
6. Filming and Content Consent
By engaging our video production services, you confirm that all individuals appearing in filmed content (including employees, subcontractors, and customers) have been informed and have consented to being recorded and having that content published across digital platforms.
Net Sphere is not responsible for any claims arising from a third party's objection to being included in content if proper consent was not obtained by the client.
7. Advertising and Paid Media
If your service plan includes paid advertising management, you understand that:
- Ad spend is a separate cost paid directly to the advertising platform (Meta, Google, etc.) and is not included in your Net Sphere service fee.
- We manage and optimize campaigns on your behalf but do not guarantee specific performance metrics such as cost per lead, click through rates, or conversion rates.
- Advertising results depend on factors including your offer, market, budget, and audience responsiveness.
- We will not launch paid advertising until we mutually agree that your brand, content, and funnel are ready to support it.
8. SMS Communications
By providing your phone number, you consent to receive SMS messages from Net Sphere regarding scheduling, project updates, and account communications. Message frequency varies. Message and data rates may apply. Reply STOP to opt out at any time. Reply HELP for support. Consent is not a condition of purchase. Your phone number will not be shared with or sold to third parties.
9. Limitation of Liability
Net Sphere is not responsible for business outcomes including changes to search rankings, website traffic, social media performance, customer reviews, revenue, or any other metric. While we work to deliver measurable results, outcomes depend on variables beyond our control.
Our total liability for any claim related to our services is limited to the amount you paid to Net Sphere in the 30 days preceding the claim.
10. Termination
Either party may terminate the service relationship at any time with written notice. Net Sphere reserves the right to suspend or terminate services immediately if:
- You violate these Terms and Conditions.
- You use our services in an unethical, unlawful, or abusive manner.
- Your actions harm our reputation, our team, or our ability to serve other clients.
Upon termination, we will deliver any completed work and provide access to your content assets.
11. Dispute Resolution
Any disputes arising from these Terms will be resolved through good faith negotiation between both parties. If a resolution cannot be reached, disputes will be settled through binding arbitration in Sarasota County, Florida, under the rules of the American Arbitration Association.
12. Changes to These Terms
We may update these Terms and Conditions at any time. Changes take effect when posted to our website with an updated Effective Date. Your continued use of our services after changes are posted constitutes acceptance of the updated Terms.
